By accessing, browsing, or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. We may modify these Terms at any time. Material changes will be communicated through a prominent notice on our website or by direct notification, and your continued use of the Service after such changes constitutes acceptance of the modified Terms.

We provide local SEO, digital marketing, and systems automation services. Our services include FlowPilot REV, an automated platform that generates marketing video and related content for real estate listings. The Service may include both free and paid features, and we may modify, suspend, or discontinue any aspect of it at any time with reasonable notice.

To use the Service, you must:

• Be at least 18 years old
• Have the legal capacity to enter into binding agreements
• Provide accurate, current, and complete registration information
• Maintain and update your account information
• Keep your login credentials secure and confidential

You are responsible for all activity that occurs under your account, whether or not authorized by you.

You agree to use the Service only for lawful purposes and in accordance with these Terms. You shall not:

• Violate any applicable law or regulation
• Infringe the intellectual property or other rights of any party
• Harass, abuse, defame, intimidate, or discriminate against others
• Submit false or misleading information
• Upload or transmit viruses, malware, or other malicious code
• Attempt to gain unauthorized access to our systems or other accounts
• Interfere with or disrupt the Service or its servers
• Reverse engineer, decompile, or disassemble our software except as permitted by law

Our Intellectual Property

All content, features, and functionality of the Service — including text, graphics, logos, images, audio and video, software, and their arrangement — are owned by us or our licensors and are protected by intellectual property laws.

License to Use

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes. This license does not include any resale or commercial use of the Service itself.

Your Content

“Content you submit” includes property listings, photographs, and other materials that you upload or that you direct us to retrieve and process on your behalf (for example, by providing a listing URL). By submitting content, you:

• Retain ownership of your intellectual property rights
• Grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, adapt, publish, and display that content as needed to provide the Service
• Represent and warrant that you are authorized to market each listing you submit, that you hold all rights necessary for us to process and publish the associated images and information, and that our generation and distribution of content derived from it will not infringe any third party’s rights or misrepresent the property

Marketing videos and other deliverables we generate for you are licensed to you for your real estate marketing use. We retain ownership of the underlying templates, software, and production technology used to create them.

For paid services:

• All fees are exclusive of taxes, which you are responsible for paying
• Payment is due according to the billing schedule you select
• We may change our fees with reasonable advance notice
• Refunds are provided according to our refund policy
• We may suspend or terminate the Service for non-payment
• You authorize us to charge your payment method for all fees due

Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to that collection and use.

To the maximum extent permitted by law, the Service is provided “as is” and “as available” without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, secure, or error-free, or that any particular marketing outcome will be achieved. Your use of the Service is at your sole risk.

To the maximum extent permitted by law, we shall not be liable for any indirect, incidental, special, consequential, or punitive damages, and our total liability shall not exceed the amount you paid us in the twelve months preceding the claim. Some jurisdictions do not allow these limitations, so they may not apply to you.

You agree to defend, indemnify, and hold harmless FlowPilot and its officers, directors, employees, agents, licensors, and suppliers from any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or relating to your violation of these Terms or your use of the Service.

You may terminate your account at any time by following the account closure process or contacting us. We may suspend or terminate your access immediately, without prior notice, for breach of these Terms, fraudulent or illegal activity, extended inactivity, or technical or security concerns. Upon termination, your right to use the Service ceases immediately; we may delete your account and data, though some information may be retained as required by law or for legitimate business purposes.

These Terms are governed by the laws of the Province of Quebec, Canada, without regard to conflict-of-law principles. Any dispute arising from these Terms or your use of the Service will be resolved through binding arbitration, except that you may assert qualifying claims in small claims court. You agree that any proceeding will be limited to the dispute between you and us individually, and you waive any right to participate in class actions or representative proceedings.

If any provision of these Terms is found unenforceable, the remaining provisions remain in full force. These Terms, together with our Privacy Policy, constitute the entire agreement between you and us regarding the Service. We may assign our rights and obligations under these Terms; you may not assign yours without our prior written consent. We are not liable for any failure to perform due to causes beyond our reasonable control.
